Real-Time Amazon Buy Box Watchdog Application

1. Definitions
- “Application” means the real-time Amazon Buy Box Watchdog service provided via web, mobile, or API.
- “User” means any individual or entity accessing or using the Application.
- “Amazon SP-API” means Amazon’s Selling Partner API.
- “Subscription Fees” means fees paid by the User for any paid tier of the Application.
2. Acceptance of Terms
By accessing or using the Application, the User unconditionally accepts and agrees to these Terms of Service (“ToS”). If the User does not agree, the User must immediately cease all use.
3. Application Description
The Application monitors Amazon Buy Box availability and provides alerts. No guarantees are made regarding data accuracy, completeness, or timeliness.
4. Disclaimer of Warranties
- THE APPLICATION IS PROVIDED “AS-IS” AND “AS AVAILABLE,” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES.
- NO WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR ACCURACY IS MADE.
- THE PROVIDER DISCLAIMS ALL WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
5. Limitation of Liability
- USER ACKNOWLEDGES AND AGREES THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES PAID BY USER IN THE PRIOR THREE MONTHS OR (B) ZERO FOR FREE TIERS.
- IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.
- ANY CLAIM MUST BE FILED WITHIN THIRTY (30) DAYS AFTER THE FIRST EVENT GIVING RISE TO LIABILITY.
6. User Assumption of Risk
- USER AGREES TO USE THE APPLICATION AT USER’S OWN RISK AND TO VERIFY CRITICAL DATA INDEPENDENTLY.
- THE USER ASSUMES ALL RISKS ASSOCIATED WITH RELYING ON MONITORING DATA, INCLUDING API LIMITATIONS, SERVICE OUTAGES, AND BUY BOX ALGORITHM CHANGES.
7. Indemnification
The User shall defend, indemnify, and hold harmless the Provider, its officers, directors, and affiliates from any third-party claims, liabilities, damages, or expenses (including attorneys’ fees) arising from the User’s use of the Application or violation of these ToS.
8. Third-Party Dependencies
- The Application relies on Amazon SP-API. The Provider is not responsible for API downtime, rate limits, or changes to Amazon’s services.
- The User must comply with all Amazon Developer Agreement terms and policies.
9. Real-Time Monitoring Limitations
The Application may experience delays, rate limiting, or technical disruptions. No warranty is made regarding notification speed or service availability.
10. Buy Box Algorithm Changes
Amazon may alter its Buy Box selection criteria. The Provider is not liable for any impact these changes have on the Application’s performance.
11. Data Retention and Security
- The Provider implements reasonable security measures but disclaims liability for data breaches or unauthorized access.
- The User is responsible for maintaining the confidentiality of access credentials.
12. Termination
- The Provider may suspend or terminate the User’s access at any time, with or without notice, for any reason.
- Upon termination, all rights granted to the User immediately cease.
13. Governing Law and Dispute Resolution
- These ToS are governed by the laws of the Republic of Cyprus.
- Any dispute shall be resolved by binding arbitration in Nicosia, Cyprus, under Cyprus Arbitration Law. The User waives any right to class actions.
14. Severability and Integration
- If any provision is held invalid, the remainder shall remain in full force.
- These ToS constitute the entire agreement between the User and the Provider and supersede all prior agreements.
15. Amendments
The Provider may amend these ToS at any time. Continued use after notice constitutes acceptance of the amended terms.
Glossary
- “As-Is”: No warranty of any kind.
- “Buy Box”: The Amazon feature granting instant purchase capability.
- “Consequential Damages”: Indirect losses such as lost profits.
- “Indemnify”: To reimburse for damages or legal costs.
By using the Application, the User confirms having read, understood, and agreed to these Terms of Service.
